Terms of Service & Master Agreement

1. Scope of Studio Services
Mobo Devs ("Studio", "we", "us") provides digital software architecture, mobile app engineering, web platform development, and cloud DevOps consulting. All engagements are governed by individual Statements of Work (SOW) referencing these Terms.
2. Intellectual Property & Code Ownership
Upon receipt of final milestone or invoice payment, all custom source code, documentation, database schemas, and architectural schematics created specifically for the Client are unconditionally assigned to the Client. Mobo Devs retains ownership of generic open-source libraries, utility helpers, and proprietary internal starter frameworks.
3. Confidentiality & Non-Disclosure
We treat all proprietary client information, business plans, credentials, and source repositories as strictly confidential. Both parties agree not to disclose confidential materials to any third party without express written consent. Mutual NDAs are executed prior to all technical discovery calls.
4. Payment Terms & Invoicing
Fixed-price project milestones are billed according to the schedule set forth in the SOW (e.g., 33% kickoff, 33% core beta milestone, 34% production cutover). Monthly engineering retainers are billed in advance on a recurring 30-day basis. Invoices are payable via ACH, wire transfer, or credit card via Stripe within 14 business days.
5. Post-Launch Warranty & SLA
Fixed-scope project deliverables include thirty (30) consecutive calendar days of complimentary bug warranty following production release. We will remediate any defects or discrepancies against the agreed specification at no additional charge during this period.
6. Limitation of Liability
In no event shall Mobo Devs or its principal architects be liable for indirect, incidental, punitive, or consequential damages resulting from third-party hosting outages, data provider API changes, or force majeure events. Total aggregate liability is limited to fees paid under the applicable SOW during the preceding 3-month period.
